Terms of Service

These Terms are an agreement between you and i am a ApS (IMABIRD ApS), CVR 46829336, Lunekrogen 4, 9200 Aalborg SV, Denmark ("IMABIRD", "we", "us", "our"). They cover the IMABIRD website, web app, the Birdhouse desktop app, the developer API and integrations (the "Service").

By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

If you use the Service on behalf of an organisation, you accept these Terms for that organisation and confirm that you are authorised to do so.

If you do not agree, you must not use the Service.

You must be at least 13 years old, or older where the law of your country requires it. To buy a paid plan, you must be at least 18 or have permission from a parent or guardian.

You sign in with a Google account or with an email address and password. You are responsible for:

• Keeping your sign-in details and API keys secure
• All activity under your account
• Providing accurate and up-to-date information

We may limit the number of active accounts. A new account may be placed on a waitlist and cannot use the Service until it is admitted.

Do not create several accounts to get around plan limits or the waitlist. We may suspend or terminate accounts that break this rule or provide false or misleading information.

The Service has a Free plan and paid plans. Each plan’s price and limits, such as generations per billing month, Credits, storage, source video length and export resolution, are shown on the pricing page and at checkout. The plan terms shown when you buy apply to that purchase.

A generation is one request to create Cuts from a source video, however many Cuts it produces. Very long sources count as more than one generation. Failed or cancelled runs do not count.

Credits pay for the Agent and other features priced in Credits, at the rates shown in the Service. Monthly Credits come with your plan each calendar month and expire at the end of that month. Extra Credits that you buy do not expire while your account exists.

Credits have no cash value and cannot be transferred, sold or exchanged for money. Unused Credits are not refunded, except where the law requires it.

• Payments are processed by Stripe. Prices are in US dollars and include any VAT that applies.
• Subscriptions are billed in advance and renew automatically at the end of each billing period, monthly or yearly, until you cancel.
• You can cancel at any time from your profile. Cancellation takes effect at the end of the current billing period, and you keep your paid features until then. We do not refund partial billing periods, except where the law requires it.
• If a payment fails, we may restrict paid features until it succeeds.
• We will tell you about a price change at least 30 days before it applies to your next renewal. If you do not agree, you can cancel before then.
• If a purchase is refunded or charged back, the Credits from it that are still unused are removed from your account.

If you are a consumer in the EU or EEA, you may withdraw from a purchase within 14 days of making it, without giving a reason, by emailing a clear statement to hello@imabird.productions.

• Subscriptions: if you ask for your subscription to start immediately and then withdraw within the 14 days, you pay for the Service provided until you told us, in proportion to the full price.
• Extra Credits: if you ask for the Credits to be delivered immediately and acknowledge that you then lose your right of withdrawal, that right ends when the Credits are added to your account.

We refund a withdrawal within 14 days of receiving it, using the original payment method.

You retain any ownership rights you hold in content you upload, import by link, submit through a connected account, or create using the Service ("User Content"). Importing third-party content does not transfer its ownership to you or to IMABIRD.

You grant IMABIRD a worldwide, non-exclusive, royalty-free licence to:

• Host, store, and process your content
• Display and perform your content
• Modify your content as necessary to operate and provide the Service

This licence lasts while your content is stored in the Service. We do not use User Content to train machine learning or artificial intelligence models.

You represent and warrant that:

• You own the content or have obtained all permissions, licences and other lawful authority required for the uses you request
• Your content does not violate any laws or third-party rights

Upload, Import and Publishing Permissions

You are responsible for checking and obtaining the rights required before uploading, importing, editing, processing, exporting, scheduling or publishing content. This applies to local files, pasted links (including YouTube, Twitch, Google Drive and Dropbox), connected accounts, API requests and automated workflows.

• Your permission must cover the requested download and copying, storage, AI processing, editing and any distribution or publication, including music, footage, images and other material within the content.
• Obtain required permissions from people featured in the content and meet applicable privacy, data-protection, confidentiality and publicity-rights requirements.
• Comply with applicable law and the source and destination platforms’ terms. Do not bypass access controls, download restrictions or other safeguards.
• Review your content, destination accounts and publishing schedule before authorizing publication. You remain responsible for the rights needed when a scheduled post is published.

A publicly accessible link, possession of a file, a connected account or a successful import is not proof of permission. IMABIRD provides the technical tools; accepting or processing your content does not certify that you own it or have permission to use it.

You are responsible, to the extent provided by applicable law, for infringement or unlawful use caused by your failure to obtain the necessary rights or comply with these obligations. We may request evidence of permission and restrict imports, remove content or suspend access where necessary to address a rights complaint or legal obligation. When you connect YouTube, Instagram, Twitch or another account, you authorise us to access it and to take the actions you request, such as uploading the posts you schedule. You must follow each platform’s terms. You can disconnect an account at any time in your profile.

YouTube

IMABIRD uses YouTube API Services to publish videos to a YouTube channel you connect. By connecting a YouTube channel or publishing to YouTube through IMABIRD, you agree to be bound by the YouTube Terms of Service. Our Privacy Policy explains which YouTube data we access and how to revoke access.

The Service may use artificial intelligence ("AI") to generate, transform, or enhance content.

Experimental Nature

AI features are experimental and provided for informational and creative assistance purposes only.

No Accuracy Guarantee

• AI-generated outputs may be inaccurate, incomplete, biased, or misleading.
• We make no guarantees regarding correctness, reliability, or fitness for any purpose.

No Professional Advice

AI outputs do not constitute legal, financial, medical, or other professional advice.

User Responsibility

You are solely responsible for:

• Reviewing and validating AI-generated outputs
• Deciding how to use or act on such outputs

Use of AI-generated content is entirely at your own risk.

Output Variability

AI systems may produce different outputs for the same input and may evolve over time.

You agree not to:

• Use the Service for unlawful, harmful, or fraudulent purposes
• Upload or create content that is illegal, sexually exploits minors, or harasses or threatens others
• Create content that deceives people by impersonating a real person without their permission
• Infringe intellectual property, privacy, or other rights
• Upload malicious code or attempt to disrupt the Service
• Reverse engineer, scrape, or exploit the Service
• Circumvent safeguards, access restrictions, plan limits or rate limits, including by using several accounts or automated sign-ups

We may suspend or terminate access for violations.

You can use the Service through Birdhouse, our desktop app, which signs in to your IMABIRD account, and through our developer API and MCP server with API keys you create. Work done this way, such as storyboard pictures and video generated in Birdhouse, counts against your plan’s limits and Credits.

Keep your API keys secret: you are responsible for all requests made with them. We may rate-limit, suspend or revoke keys to protect the Service.

The Service, including all software, models, branding, and design, is owned by IMABIRD and protected by applicable laws.

Except as explicitly permitted, you may not copy, modify, distribute, reverse engineer, or commercially exploit any part of the Service.

We may:

• Modify, suspend, or discontinue any part of the Service
• Introduce or remove features
• Make changes for legal, security, or operational reasons

We do not guarantee uninterrupted or error-free operation. If we discontinue the Service as a whole, we will give you reasonable notice and refund prepaid fees for any period after it ends.

You may stop using the Service at any time. To delete your account, email hello@imabird.productions from the address on your account; we delete it as described in our Privacy Policy. Download any exports you want to keep first.

We may suspend or terminate your access immediately if:

• You violate these Terms
• It is required for legal compliance
• It is necessary to protect the Service, users, or third parties

Upon termination, your right to use the Service ceases immediately.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

We do not guarantee that:

• The Service will be secure, uninterrupted, or error-free
• Content will be accurate or reliable
• The Service will meet your expectations

Nothing in this section limits your statutory rights as a consumer.

To the fullest extent permitted by law, IMABIRD shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of data, profits, revenue, or business opportunities
• Damages resulting from AI-generated content or reliance on it

Our total liability for any claim shall not exceed the amount you paid (if any) for the Service in the past 12 months.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, your mandatory consumer rights, or our own obligations under applicable data-protection law.

If you use the Service for business purposes, and only to the extent permitted by applicable law, you agree to compensate IMABIRD for reasonable, documented third-party claims, damages and costs directly caused by:

• Your upload, import or publication of content without the necessary rights or permissions
• Your intentional or negligent breach of these Terms or applicable law

This obligation does not cover losses caused by our own breach, negligence or unlawful conduct. We will notify you of a relevant claim and give you a reasonable opportunity to respond. This section does not impose a contractual indemnity on consumers or restrict rights that cannot be waived by law.

These Terms are governed by Danish law, and disputes are decided by the Danish courts.

If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in its courts.

Consumers in Denmark can also complain to the Danish Consumer Complaints Board (Forbrugerklagenævnet) through Nævnenes Hus, www.naevneneshus.dk.

We may update these Terms. For material changes, we will tell you in the Service or by email at least 30 days before they take effect. If you do not agree, you can cancel and stop using the Service before then. If you keep using the Service after that, the new Terms apply.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
